ARTICLE 1 – GENERAL

1.1. MEES CHOCOLATES srl with company number J29/303/2010 and unique registration code RO 265 999 66, registered office in Romania, 107086 Negoiesti/BRAZI, Strada Piatra Craiului 7 hall 19 (info@meeschocolates.com or + 40 (0) 244 43 42 42 ), is a company with limited liability in artisan chocolate, patisserie related (confectionery) products and accessories.

1.2. The general terms and conditions of MEES CHOCOLATES apply to all orders placed via the MEES CHOCOLATES web shop via the website www.meeschocolates.com. The general terms and conditions form an integral part of the purchase agreement and determine the legal relationship between the parties. Unless expressly agreed otherwise in writing in the special terms and conditions stated on the website, this cannot be deviated from. In the event of special conditions, the latter take precedence over the general conditions, which remain applicable to that which is not covered by the special conditions.

1.3. The general terms and conditions of MEES CHOCOLATES apply to the exclusion of the general terms and conditions of the customer insofar as the latter conflicts with the provisions of these general terms and conditions. By placing an order via the web shop, the customer declares to have taken note of the general terms and conditions of MEES CHOCOLATES, including privacy policy and cookie policy and to accept them in full.

1.4. The general terms and conditions, privacy policy and cookie policy of MEES CHOCOLATES can always be consulted online at www.meeschocolates.com.

1.5. MEES CHOCOLATES reserves the right to change the terms and conditions at any time. Any changes will apply to every new order via the web shop. For current orders at the time of change, the general terms and conditions will continue to apply as existing during the creation of this order.

ARTICLE 2 – OFFERS AND ORDERS

2.1. The offer in the web shop is valid as long as stocks last and can be changed by MEES CHOCOLATES. If the desired product is no longer available in the range in the web shop, the customer can always contact MEES CHOCOLATES (info@meeschocolates.com or + 40 (0)244 43 42 42) for more information. In case of (temporary) exhaustion of stock, MEES CHOCOLATES reserves the right not to accept an order.

2.2. Quotations are always subject to all reservations. In the event of temporary offers with limited validity or special conditions, MEES CHOCOLATES will explicitly mention this in the web shop.

2.3. MEES CHOCOLATES ensures an accurate product description. The description and images are displayed as truthfully as possible. The product description always includes a statement of substances present that can cause an allergy and/or intolerance. In the event of a serious discrepancy between the goods and the description and/or display, MEES CHOCOLATES will inform the customer without delay and MEES CHOCOLATES reserves the right to waive the delivery subject to a refund of the amount already paid. MEES CHOCOLATES is only obliged to an obligation of means with regard to the correctness and/or completeness of the information offered on the website and in the web shop and bears no liability for material errors such as typing errors.

2.4. Orders placed by the customer are only final upon receipt of an order confirmation by MEES CHOCOLATES. Changes to an order placed are only possible after contact and written confirmation by MEES CHOCOLATES and, in view of the artisanal nature of the products offered, they depend on the nature of the desired changes and the production phase in which the order is at that time.

2.5. MEES CHOCOLATES currently only distributes or supplies its products in the following countries: Romania, Belgium and the Netherlands. If a different delivery address is given during the ordering process, MEES CHOCOLATES reserves the right to cancel the order or to refuse delivery.

2.6. Payment is made in advance in accordance with article 4. Orders are only prepared once MEES CHOCOLATES has received the approval of the payment transaction by the payment handler. Orders without valid payment in the name of the registered cardholder will not be accepted or processed.

2.7. Cancellation of the order is only possible if the order has not yet been processed at MEES CHOCOLATES.

ARTICLE 3 – REPRESENTATION

3.1. By placing an order in the MEES CHOCOLATES web shop, the customer commits himself definitively. Any person or company who places an order on behalf of third parties or with the request to invoice them to third parties, makes a strong case for these third parties in accordance with Article 1120 of the Dutch Civil Code and will be personally liable for the payment.

ARTICLE 4 – PRICES AND PAYMENTS AND CANCELLATIONS

4.1. The prices and purchase conditions used by MEES CHOCOLATES are those as posted in the web shop at the time of order. The accompanying photos are purely illustrative and may contain elements that are not included in the price.

4.2. The prices stated in the web shop are shown in euros (€) and always include VAT (19%) and exclude other costs (including handling and shipping costs), unless explicitly agreed otherwise.

4.3. From the moment an order is placed and confirmed by MEES CHOCOLATES, there is a payment obligation on the part of the customer.

4.4. Orders are payable in cash, with all payments to be made to the registered office of MEES CHOCOLATES.

4.5. Orders in the web shop must be paid in full upon completion of the ordering process. This payment can be made in one of the ways as shown during the ordering process. MEES CHOCOLATES accepts the following payment methods: Maestro, Mastercard, Visa, Apple Pay.

4.6. Comments regarding the invoice must be made known to MEES CHOCOLATES within 5 working days of the invoice date at the latest, by registered mail.

4.7. Cancellation must always be notified by registered letter to the registered office of MEES CHOCOLATES.

ARTICLE 5 – DELIVERY

5.1. Shipping of products is possible. These will then be delivered by an external courier service (DHL Express) to the address specified during the ordering process. Only one address can be entered per order. The shipping costs are always posted in the web shop.

5.2. Delivery time: Orders are usually delivered within two working days. This delivery period is always indicative and depends on the concrete circumstances (eg size of the order, planning of the external courier service). Exceeding the specified delivery period does not give rise to compensation or the right to waive the order.

5.3. For deliveries sent by DHL express, the customer can follow the delivery status at any time by means of track and trace, insofar as this is offered by the external courier service that MEES CHOCOLATES calls on for the order concerned.

5.4. As soon as the order leaves the workshop, MEES CHOCOLATES does not bear any responsibility for loss or damage during transport, nor for delays in the deliveries of the external courier service. MEES CHOCOLATES does not guarantee that it will be able to meet specific customer delivery requirements. These always take place at the customer’s own risk.

5.5. MEES CHOCOLATES is not liable for the reduction in quality and/or freshness of its products as a result of temperature fluctuations or other influences. MEES CHOCOLATES makes every effort to protect the pack as best as possible, by using shock-resistant protection material and cool packs in very hot temperatures.

ARTICLE 6 – CONSUMER’S RIGHT OF WITHDRAWAL

6.1. The customer has a statutory cooling-off period of 14 calendar days from the day after receipt or delivery to cancel the order, without stating reasons. At the request of the customer, MEES CHOCOLATES provides the necessary forms for this purpose.

6.2. In case of withdrawal, the return costs are borne by the customer. In such a case, the customer freely determines the way in which the goods are returned (eg Bpost, UPS, DHL) and is solely responsible for the transport and any loss or damage.

6.3. The above-mentioned right of withdrawal does not apply to custom-made (personalized) orders, orders containing perishable goods (foodstuffs) with a limited shelf life, sealed goods or to orders placed by the customer in a professional capacity and/or for professional purposes.

6.4. Returned goods must be in pristine condition and will only be accepted if they are returned unused in the original packaging accompanied by proof of purchase. In case of use, damage or absence of proof of purchase and packaging, the right of withdrawal will lapse.

6.5. MEES CHOCOLATES will refund the purchase price of the returned goods within 14 calendar days of receipt of the return. The repayment term falls within the competence of the bank and is independent of the will of MEES CHOCOLATES.

ARTICLE 7 – LIABILITY

7.1. The customer undertakes to thoroughly check his/her order upon receipt. Visible defects, qualitative or other shortcomings in the products or the service must be reported to MEES CHOCOLATES in writing (info@meeschocolates.com) without delay and at the latest within 24 hours of receipt, on pain of forfeiting any right to refund.

7.2. MEES CHOCOLATES always provides the necessary warning when its products contain ingredients that can cause an allergic reaction or intolerance. In the event of a known allergy, the customer should contact MEES CHOCOLATES before placing an order in case of doubt whether the desired products contain specific ingredients. MEES CHOCOLATES does not accept any liability for allergic reactions to ingredients or food intolerances that may occur. All information can be found on our website www.meeschocolates.com.

7.3. MEES CHOCOLATES makes its web shop available and provides periodic maintenance so that the connections are as error-free as possible. As a result, it cannot be ruled out that access to the web shop may occasionally be limited or suspended with a view to implementing improvements, novelties and/or maintenance. The commitment regarding the management of the web shop is a best efforts obligation.

7.4. In the event of an attributable shortcoming, the liability of MEES CHOCOLATES will always be limited to the amount actually paid for the last order placed.

7.5. The customer acknowledges and accepts that MEES CHOCOLATES can also invoke the exceptions and exemptions that a manufacturer or supplier with whom it cooperates, if necessary, against the customer.

ARTICLE 8 – FORCE MAJEURE AND RIGHT TO TERMINATE

8.1. MEES CHOCOLATES reserves the right to suspend the execution of the order in the event of an unforeseeable and non-attributable event, including supply problems at suppliers, legal obligations, wildcat strike, embargoes, technical failures, network failures, etc. , or to dissolve the agreement without judicial intervention, subject to simple written notification and this subject to restitution of the amount paid, but without any obligation to pay compensation. MEES CHOCOLATES reserves the right to make partial deliveries in such case, which will be deducted from the amount to be refunded.

8.2. MEES CHOCOLATES reserves the right to cancel the order ipso jure and without prior notice of default if there are objective reasons that indicate a risk of solvency or non-liquidity on the part of the customer, including bankruptcy, apparent insolvency, etc.

ARTICLE 9 – PRIVACY AND DATA PROTECTION

9.1. MEES CHOCOLATES recognizes the importance of secure processing of personal data (name, address, location data, IP address, transaction data, etc. of natural persons) in accordance with the prevailing national regulations, as well as Regulation (EU) 2016/679 and endeavours to comply with them.

9.2. During the ordering process in the web shop, the following information is requested: name, first name, country, address, telephone number, email address, payment card details and/or VAT number. This information is necessary for MEES CHOCOLATES to be able to fulfil the order. The personal data collected by MEES CHOCOLATES will only be used to keep the customer informed about the order, delivery, as well as any specific purpose for which the customer has given explicit permission. MEES CHOCOLATES acknowledges that it will process the personal data confidentially on behalf of or on behalf of the customer. No further personal information will be processed without MEES CHOCOLATES having obtained the necessary permission to do so.

9.3. Except in cases as determined by law or in extreme necessity, the personal data will under no circumstances be passed on to third parties, except with the express prior written consent of the customer or when MEES CHOCOLATES calls on third parties (e.g. external courier service) for the manufacture. or delivery of the order. In such a case, MEES CHOCOLATES monitors compliance with the relevant legislation by these third parties.

9.4. MEES CHOCOLATES undertakes to take the necessary technical and organizational measures to prevent the loss or any other form of unlawful processing of personal data, taking into account the state of the art, the sector concerned and the nature of the processing.

9.5. To guarantee the security of your personal data, the web shop is provided with an SSL certificate, with which the personal and transaction data transmitted to MEES CHOCOLATES are sent encrypted. Payments are made using the online payment service Stripe and are processed via 3-D Secure.

9.6. The customer has the right to request access, free correction and/or deletion of his collected personal data, as well as the right to withdraw his consent or to request the portability of his data. The data that MEES CHOCOLATES collects with a view to processing the order can always be consulted upon written request to MEES CHOCOLATES (sales@meeschocolates.com or the address of our registered office).

9.7. The personal data requested when completing an order will not be kept longer than necessary to complete the delivery of the order.

ARTICLE 10 – INTELLECTUAL PROPERTY

10.1. All texts, illustrations, images and graphic designs remain the artistic and intellectual property of MEES CHOCOLATES and are protected by copyright. Any reproduction, in whole or in part, is strictly prohibited.

10.2. MEES CHOCOLATES reserves the right to use made-to-order or custom-made products for reference and promotion purposes.

ARTICLE 11 – COMPLAINTS AND DISPUTE RESOLUTION

11.2. The courts of the judicial district in which the registered office of MEES CHOCOLATES is located are exclusively competent for hearing any disputes arising from the order placed or the general terms and conditions.

11.3. These terms and conditions and all acts resulting therefrom are governed by Romanian law and should be interpreted accordingly.
